1.2The definitions may be used in the singular or plural without losing their meaning.

Article 2. Applicability

2.1These General Terms and Conditions apply to all offers made by GLW and to all Agreements between the Client and GLW, including Orders via the Platform. Only Article 4a applies to creating and using a Client Account without an Order.
2.2Anyone who has once contracted on the basis of these terms and conditions agrees to their applicability to future and/or follow-up agreements with GLW.
2.3The applicability of any general or specific terms and conditions of the Client is expressly rejected, unless otherwise agreed in writing in advance.
2.4GLW may amend or supplement these General Terms and Conditions. Changes of minor importance may be made at any time. Major substantive changes will be discussed with the Client in advance; in the case of a current Subscription, Article 12 also applies.
2.5These General Terms and Conditions are intended exclusively for Clients acting in the course of a profession or business. By placing an Order, the Client declares that it is acting in a business capacity.
2.6The limitations of liability and indemnities in these terms and conditions also extend to the benefit of third parties engaged by GLW in performing the Agreement.

Article 3. Client and Media Agency

3.1If an Agreement is concluded with a Media Agency, the Media Agency is deemed to act on the instructions of the Advertiser but in its own name. The Media Agency provides the Advertiser with a copy of these terms and conditions and ensures that they are complied with.
3.2If a Media Agency acts in the name of the Advertiser, it presents a valid mandate or power of attorney; in that case the Advertiser is the Client and the Media Agency and the Advertiser are jointly and severally liable for the obligations under the Agreement.

Article 4. Orders and formation of the Agreement

4.1Orders are placed via the Platform. In doing so, the Client provides all information necessary for correct processing and is responsible for its accuracy. The Platform shows which products can be ordered; GLW may temporarily close the sale of a product. These General Terms and Conditions do not give any right to order a product that is not offered on the Platform.
4.2The Agreement is formed at the moment GLW confirms the Order via the Platform and/or the payment (in the case of a Subscription: the first payment) has been processed by the Payment Service Provider. The Client receives an electronic confirmation.
4.3GLW may refuse an Order at its own discretion or impose further conditions on the Advertisement, for example if it is not permissible within the meaning of Article 6. If GLW refuses the whole of an Order that has already been paid for, GLW will refund the amount paid for the refused part. In that case the Client is not entitled to any further compensation.
4.4The period stated in the Agreement during which the Advertisement is displayed is a target period and not a strict deadline. GLW is entitled to move the start and end time of the Campaign Date by no more than 48 hours without compensation.
4.5Except with the prior written consent of GLW, rights and obligations under the Agreement are not transferable.
4.6GLW may engage third parties in the performance of the Agreement. Where necessary, GLW will consult the Client about this.

Article 4a. Client Account

4a.1A Client Account can be created on the Platform, also without an Order. Creating a Client Account does not form an Agreement and does not give rise to any payment obligation. The business details and the declaration referred to in Article 2.5 are requested with the first Order.
4a.2The user keeps its login details secret and is responsible for the use of its Client Account. A confirmation or sign-in link is personal, valid for a limited time and works once.
4a.3GLW may block or delete a Client Account in the event of misuse or incorrect details. GLW deletes a Client Account without an Order 24 months after the last sign-in, and an unconfirmed registration after 14 days, as stated in the privacy statement.
4a.4If the user places an Order, these General Terms and Conditions in the version applicable at that time apply to that Order.

Article 5. Submission of the Advertisement

5.1The Client provides all information required for the performance of the Agreement in good time and in the desired form.
5.2For a Campaign and a Subscription, the Client has at least five full Working Days after the Order to submit the Advertisement digitally; the day of the Order does not count. The Advertisement must be submitted no later than the Delivery Deadline. On the Working Day between the Delivery Deadline and the Start Date, GLW reviews and schedules the Advertisement. The paid term of a Subscription begins on the Start Date, not during the delivery and review period. For an Event Day, the Client has at least two full Working Days to submit the Advertisement, with the same Delivery Deadline and review day. Submission is at the expense and risk of the Client.
5.3Until the Delivery Deadline, the Client may submit a changed Advertisement free of charge, provided GLW has not yet approved the previously submitted Advertisement.
5.3aAfter approval, the Client does not replace the Advertisement itself. It may request a replacement Advertisement via the client portal and submits the file to GLW by email at booking@greenledwalls.com, stating the booking number. GLW reviews the replacement Advertisement as a rule within one Working Day of receiving the file, against the same requirements as the original (Articles 5 and 6). The replacement Advertisement is displayed from the start date chosen by the Client within the limits shown in the client portal until the end of the booked period; for a Subscription only within the period that has been paid for. Until then, the approved Advertisement continues to be displayed. The number of Impressions, the spot length, the term and the fee do not change. No costs are charged for a replacement.
5.4If a (timely or correct) Advertisement is missing, GLW may display a previously submitted advertisement or not proceed with the Impression. GLW is not liable for any resulting damage and the fee remains payable in that case.
5.5Unless the Client expressly objects when entering into the Agreement, GLW may archive or delete a submitted Advertisement after the Campaign Date has ended.

Article 6. Warranties regarding the Advertisement

6.1The Client warrants that the Advertisement: (a) may be broadcast by it; (b) does not infringe any intellectual property right or other right; (c) does not conflict with the Dutch Advertising Code and Dutch laws and regulations, including privacy legislation; and (d) is not contrary to public morality or public order.
6.2The Client is responsible for the form and content of the Advertisement and for the consequences of failing to comply with these terms and conditions or applicable regulations.
6.3The Client indemnifies GLW against any claim by third parties relating to the content or execution of the Advertisement.

Article 7. Amendment of the Agreement

7.1If an Advertisement is no longer permissible within the meaning of Article 6, or if GLW may reasonably expect this, GLW may terminate the Agreement without being obliged to pay compensation.
7.2If it becomes apparent during performance that an amendment is necessary (for example a different date or time), the Parties will adjust the Agreement by mutual agreement and where possible. Reasonable additional costs may be passed on to the Client. This does not apply to a replacement as referred to in Article 5.3a.

Article 8. Rates and payment

8.1All prices stated are exclusive of VAT. VAT is payable by the Client.
8.2Campaigns, Event Days and Gift Cards are paid in advance via the Platform when the Order is placed, through the Payment Service Provider. The Agreement is performed once the payment has been processed.
8.3The Subscription Fee is paid in advance: per three contract months, or for the full term at once, as chosen by the Client when placing the Order. No direct debit is collected. Paying the full term in advance does not give a discount. The first instalment is paid when the Order is placed. For each subsequent period of three contract months, GLW makes an invoice with a payment link available in the client portal no later than fourteen days before the start of that period and notifies the Client by email. This invoice must be paid no later than 23:59 (Dutch time) four days before the start of that period. Payment counts as made once the Payment Service Provider has confirmed it as paid. For Subscriptions entered into before this payment method was introduced, the payment method agreed at the start continues to apply.
8.3aIf an invoice as referred to in 8.3 has not been paid by the date stated there, the Subscription ends at the end of the last paid period of three contract months. That period is performed in full; the next period does not commence. GLW will notify the Client accordingly. Upon the end of the Subscription, the obligations of both Parties for the remaining Subscription Term lapse; the invoice for the period that does not commence does not have to be paid and will be credited by GLW. A term discount applied to the Order is retained for the periods that have been paid.
8.3bA payment received by GLW after the Subscription has ended pursuant to 8.3a does not automatically result in continuation. GLW will assess within five Working Days whether the Subscription is resumed or the amount is refunded, and will notify the Client accordingly.
8.4In the case of payment by invoice, the Client is in default by operation of law as soon as the latest payment date stated on the invoice, or for a Subscription the date referred to in 8.3, has passed without the payment counting as made, without any notice of default being required. GLW may then charge the statutory commercial interest.
8.5All reasonable collection costs are payable by the Client. The extrajudicial collection costs amount to at least 15% of the outstanding invoice amount, with a minimum of €250.
8.6In the event of late payment or non-performance, the claims of GLW that are due become immediately payable and GLW may suspend its obligations. For a Subscription that ends pursuant to Article 8.3a, Article 8.3a applies.
8.7The Client is not permitted to set off or suspend payment obligations.

Article 9. Impressions Model and services

9.1Advertising Space is purchased in Impressions. The number of Impressions stated for a product applies per the period stated with it (per contract month for a Subscription, per day for an Event Day, and for a Campaign for the package as a whole, spread over the booked weeks).
9.2In principle, the Impressions are shown spread out and at random throughout the day during the operating hours of the Advertising Mast; for a Night Subscription between 00:00 and 06:00. The reach stated for a product is an indication and not a measurement. The location figure for the number of passers-by per day describes the location, not the number of people who see the Advertisement. Neither is a guaranteed result; the Client purchases a number of Impressions.
9.3GLW makes every effort to deliver the agreed number of Impressions. If, due to a cause attributable to GLW, structurally fewer than the agreed number of Impressions are shown, GLW will make up the shortfall proportionately in consultation, or credit the part not delivered. A minor deviation that is customary in the industry does not give any right to a refund.
9.4GLW does not guarantee any commercial result (such as turnover, leads or brand awareness) of an Advertisement.

Article 10. Complaints

10.1If an Advertisement is not shown, is shown incompletely, is not shown at the agreed time (with a margin of 48 hours) or is otherwise not shown in accordance with the Agreement, GLW may choose between displaying it after all or (partially) refunding the invoice concerned.
10.2The Client reports visible shortcomings in writing, for example by email to booking@greenledwalls.com, within ten days of the Impression; non-visible shortcomings within ten days of discovery. Complaints about invoices must be made within eight days of the invoice date. If these periods are exceeded, the claim lapses.
10.3A complaint does not suspend the payment obligation and does not give any right to set-off.

Article 11. Cancellation and rescheduling

11.1Campaign. A Campaign can only be cancelled or rescheduled as a whole; individual weeks cannot be changed or cancelled separately. This is free of charge up to ten Working Days before the Campaign Date (the Start Date of the first booked week). After that, up to five Working Days before that date, 50% of the Campaign price is payable, and after that 100%.
11.2Event Day / Day Bundle. Owing to its short, date-bound nature, an Event Day may, in consultation with GLW, be rescheduled free of charge to another available day up to the Delivery Deadline. Cancellation is not possible; the amount remains payable. Rescheduling after that point is only possible with the consent of GLW and as long as the Advertisement has not yet been scheduled.
11.3Subscription. Articles 8.3a and 12 apply to the term and end of the Subscription.
11.4Fees payable upon cancellation are invoiced in accordance with Article 8. GLW may use released Advertising Space at its own discretion.

Article 12. Subscription

12.1A Subscription is entered into for the fixed Subscription Term chosen by the Client when placing the Order; for the Night Subscription this is always 12 months. The Subscription Term begins on the Start Date. During the Subscription Term the Subscription cannot be cancelled before its end, without prejudice to Article 8.3a and Article 17.
12.1aThe Subscription ends by operation of law on the last day of the Subscription Term. It is not renewed tacitly and no notice of cancellation is required. If the Client wishes to continue advertising afterwards, it places a new Order at the rates and terms applicable at that time.
12.2GLW may change the Subscription or parts of it when this is necessary for its business operations. GLW will give timely notice of this; the Client may then cancel the Subscription within one month of the change, except where the change results from laws or regulations.
12.3The Subscription Fee is paid in advance in accordance with Article 8.3.
12.4The Subscription Fee is fixed for the entire Subscription Term.
12.5For a new Subscription Term (a new Order), GLW may adjust the fee. GLW announces the new fee in advance.
12.6In the event of a conflict between this article and the other provisions, this article prevails insofar as a Subscription is concerned.

Article 13. Gift Card

13.1A Gift Card entitles the holder to a credit that can be redeemed on the Platform for Advertising Space. The credit is expressed as a monetary amount and/or as an indicative number of Impressions. For a Gift Card purchased on or after 3 November 2026, the monetary amount is exclusive of VAT (Article 13.10). For a Gift Card issued earlier, the VAT treatment recorded by GLW at issue applies.
13.2The indicative price per Impression shown with the Gift Card is an indication. The actual number of Impressions upon redemption is determined by the rate that applies at the time of redemption.
13.3The Gift Card is valid until and including the same calendar date two years after the date of purchase. For both a digital and a physical Gift Card, the date of purchase is the day on which payment via the Platform is confirmed. The expiry date is stated with the Gift Card. After the expiry date, any remaining credit can no longer be redeemed.
13.4The Gift Card and the credit cannot be exchanged for cash and are not paid out. Any remaining balance after partial redemption remains available for a subsequent redemption within the period of validity.
13.5Each Gift Card has a unique code. The credit can be used in one or more Orders until it has been spent. If GLW replaces a code, for example after loss, the new code receives the same remaining credit and the same expiry date and the old code lapses; a replacement does not extend the validity. After it has been issued, GLW is not liable for loss, theft or unauthorised use of the code, unless there is intent or gross negligence on the part of GLW.
13.6These General Terms and Conditions apply in full to the Advertisement booked with a Gift Card, including the warranties in Article 6 and the submission periods in Article 5.
13.7A Gift Card is purchased via the Platform and has a credit of at least €50 and at most €500, exclusive of VAT. For a physical Gift Card, a single surcharge for the card and shipping applies on top of the credit; no surcharge applies to a digital Gift Card. The amount payable including VAT, with any surcharge, is shown before payment. A digital Gift Card is delivered by email after the payment has been confirmed and can be redeemed immediately. GLW sends a physical Gift Card by post within five Working Days of payment to the address the buyer provides with the Order. The code is on the card and can be redeemed as soon as GLW has linked the card to the Order and sent it. GLW has no shop or counter. The Platform shows whether and in what form Gift Cards can be purchased (Article 4.1).
13.7aIf the buyer has still not received a physical Gift Card ten Working Days after payment, or if it arrives damaged, the buyer may notify GLW at booking@greenledwalls.com. GLW then blocks the code and sends, free of charge, a new card or, if the buyer prefers, a digital Gift Card, with the same remaining credit and the same expiry date (Article 13.5). Until receipt by the buyer, GLW bears the risk of loss in transit; a physical Gift Card counts as provided within the meaning of Article 13.5 once the buyer has received it.
13.8A digital Gift Card is final once the payment has been confirmed and cannot be cancelled. An Order for a physical Gift Card may be cancelled as long as GLW has not yet sent the card; GLW will then refund the amount paid.
13.9For Gift Cards issued by GLW outside the Platform before 3 November 2026, the credit, expiry date and VAT treatment recorded by GLW at issue apply; the first and second sentences of Article 13.3 and Article 13.10 do not apply to them. These Gift Cards can be redeemed on the Platform; the other provisions of this article apply.
13.10VAT on a Gift Card purchased on or after 3 November 2026: (a) When a Gift Card is purchased on or after 3 November 2026, via the Platform or as a physical card, Dutch VAT is due on the credit. The buyer pays the credit plus VAT and receives an invoice after payment. Example: for a credit of €100, the buyer pays €121 (€100 + €21 VAT). (b) On redemption, the credit is set off against the price exclusive of VAT. No further VAT is charged on the part paid with the Gift Card. For any remainder, the Client pays the price plus VAT. Example: for an Event Day of €199 and a credit of €100, the remainder is €99 + €20.79 VAT = €119.79. (c) The invoice on redemption states the amount paid with the Gift Card and the remainder on which VAT has been charged.

Article 14. Liability

14.1GLW is not liable for damage caused by incorrect or incomplete information, designs or images provided by or on behalf of the Client, unless there is intent or gross negligence on the part of GLW.
14.2The liability of GLW is limited to performing the Agreement again or to compensating direct damage only. GLW is not liable for indirect damage, including consequential damage, lost profits, missed savings, loss of reputation and damage due to business interruption.
14.3Any liability is limited to the amount paid out by GLW's liability insurer. If the insurer does not pay out or there is no cover, liability is limited to the order value (excluding VAT) of the Agreement concerned.
14.4Any claim lapses if the damage has not been reported in time, and in any event one year after performance of the Agreement, unless the Parties agree otherwise.
14.5The limitations in this article do not apply insofar as the damage results from intent or deliberate recklessness on the part of GLW.

Article 15. Indemnification by the Client

15.1Damage suffered by GLW as a result of the performance of the Agreement or a shortcoming on the part of the Client will be compensated by the Client upon first request.
15.2The Client indemnifies GLW against claims by third parties arising from a shortcoming or a breach of warranty by the Client, and compensates the related costs and damage.

Article 16. Force majeure

16.1In the event of force majeure, GLW may suspend performance for the duration of the force majeure, or dissolve the Agreement in whole or in part, without being obliged to pay compensation.
16.2Force majeure includes in any event: war, government measures, extreme weather conditions, vandalism, fire, theft, technical and IT failures, failures at third parties engaged, the Advertising Mast not functioning, and the (temporary) removal or requisition of the Advertising Mast by order of a competent authority.
16.3If GLW has already partially performed when the force majeure occurs, it may invoice that part separately.

Article 17. Suspension and dissolution

17.1GLW may, without notice of default and without judicial intervention, suspend performance or dissolve the Agreement in whole or in part if: the Client fails to fulfil its obligations; there are good grounds to fear that it will not do so; it is declared bankrupt or granted a suspension of payments, or an application to that effect has been filed; or its business is transferred or discontinued.
17.2In these cases, the claims of GLW become immediately due and payable. For a Subscription that ends pursuant to Article 8.3a because of non-payment, the consequences set out in Article 8.3a apply.

Article 18. Privacy and data

18.1GLW processes the personal data required for the performance of the Agreement, the management of Client Accounts and the management of the Platform, in accordance with the General Data Protection Regulation (GDPR) and its privacy statement.
18.2The privacy statement can be consulted at greenledwalls.nl/en/privacy. It sets out which data GLW processes, for what purpose, for how long and what rights the data subject has.
18.3GLW may send the Client service and transactional messages related to the Agreement. Commercial messages are only sent insofar as this is permitted by law.

Article 19. Final provisions

19.1If a provision is null and void or voidable, the other provisions remain in force. The Parties will replace the provision concerned with a valid provision that approximates the intention as closely as possible.
19.2Provisions that by their nature are intended to remain in force after the end of the Agreement remain in force.
19.3These General Terms and Conditions have been drawn up in Dutch and English. In the event of any difference in interpretation, the Dutch text prevails.

Article 20. Applicable law and competent court

20.1The Agreement and everything connected with it are governed by Dutch law.
20.2Disputes will be submitted exclusively to the competent court of the District Court of Northern Netherlands (Rechtbank Noord-Nederland), Assen location, without prejudice to the right of GLW to submit a dispute to the court that has jurisdiction by law.
